Abstract

The article discusses some issues in the field of corporate governance. Corporate governance is a matter related to how power is organized and exercised in an organization, which should not be confused with corporate governance. Because, firstly, the last problem is of a large-scale nature. Secondly, not only in corporations defined by an open joint stock company, but also in relation to the power over any legal form of organization. The modern literature examines the shortcomings and problems of corporate governance, emphasizes the need for its improvement, raises important issues related to the practice of corporate governance on management tasks, activities and responsibilities of the board of directors, shareholders' rights and corporate control, directions of emerging changes and in theory. It is shown that when improving the legal regulation of corporate governance, it is necessary to take into account the positive experience of foreign countries and not forget about the peculiarities of entrepreneurial activity and the specifics of the national legal system.
